We are a newly incorporated blank check company. Our company’s founder is Sir Richard Branson, a renowned global entrepreneur and founder of the Virgin Group. Josh Bayliss will serve as our company’s Chief Executive Officer and as a member of our board of directors. Mr. Bayliss is Chief Executive Officer of the Virgin Group and is responsible for the Virgin Group’s strategic development, licensing of the brand globally and management of direct investments on behalf of the Virgin Group. In February 2020, our management team incorporated VGAC I, a special purpose acquisition company incorporated for the purpose of effecting a business combination, and On February 4, 2021, VGAC I announced that it entered into a merger agreement for VGAC I’s initial business combination with 23andMe, a provider of direct-to-consumer genetic testing services. We are focused on effecting a business combination with a target that operates in one of the Virgin Group’s core sectors: travel & leisure, financial services, health & wellness, technology & internet-enabled, music & entertainment, media & mobile and renewable energy/resource efficiency. We will primarily search for consumer-facing businesses.
