We are a newly organized blank check company incorporated as a Delaware corporation and formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We intend to focus our search for a target business in the energy value chain in North America, with a particular focus on opportunities aligned with energy transition and sustainability themes. To date, our efforts have been limited to organizational activities as well as activities related to our offering.
