We are a newly-organized blank check company incorporated on December 11, 2020 as a Delaware corporation. Our business purpose is to effect a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not selected any specific business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target with respect to an initial business combination with us. While we may pursue an initial business combination target in any stage of its corporate evolution or in any industry or sector, we currently intend to concentrate on identifying businesses that provide technologically innovative solutions to the real estate industry, broadly defined as “PropTech.” Shelter is a SPAC focused on the PropTech sector seeking to deliver a high growth company that leverages disruptive technology to enact positive change in the real estate ecosystem. We believe the vehicle is mutually beneficial, creating opportunity for investors to access a previously private company, and for the target to efficiently benefit from the public markets.
