We are a newly-organized blank check company incorporated in October 2021 in Delaware for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses or entities, which we refer to throughout this prospectus as our initial business combination. We have not selected any potential business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any potential business combination target. Our sponsor is affiliated with Launchpad Capital (“Launchpad”). Our team has collectively raised 6 SPACs, and has made extensive private market investments, including Square, Eventbrite, DigitalOcean, Calm and Gitlab. We believe our investments have demonstrated a history of strong performance based on realized returns. We believe that the opportunity to bring public technology and media companies with outsized potential for long-term value creation is both vast and long-lasting. Multiple secular tailwinds support our thinking, including the continued digitization of every economic sphere, acceleration of technology adoption rates, and continued creation of new opportunities for disruption by successive waves of technology adoption. Network, platform, and protocol models are particularly powerful in this context, as they often deliver greater simplicity, convenience, choice, and capabilities than the status-quo in business models that offer profitability, scalability, operating leverage, revenue visibility, and other compelling features for long-term value creation.
