We are a blank check company. We have partnered with Halle, a growth-equity investment firm focused on investments in healthcare, consumer, and business services that was founded in 2019. Halle will provide us with operational support, including due diligence and analytical resources, as well as a range of administrative support services. While we may pursue an initial business combination opportunity in any business, industry, sector or geographical location, we intend to focus our investment efforts on the healthcare industry in the U.S. or other developed countries. We have assembled a seasoned team of executives (the “Executive Advisors”), whom we believe will help us execute our differentiated investment strategy. Our strategy will be to identify and acquire an established healthcare business with attractive growth prospects and a compelling value proposition for our shareholders. Post business combination we believe our management team and Executive Advisors are well-suited to assist our partner company with executing on its financial, strategic and operational growth plans in order to create long term shareholder value. While we intend to pursue an acquisition opportunity broadly across the entire healthcare industry, we intend to focus on areas that improve healthcare quality and clinical outcomes, lower costs, enhance access and improve the consumer, payor and/or provider experience.
