JOFF Fintech Acquisition ^{Priced, Nasdaq: JOFFU}

We are a newly incorporated blank check company. We have not selected any business combination target, we currently do not have any specific business combination under consideration and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. Although we may pursue an acquisition in any industry or geography, we intend to capitalize on the ability of our management team to identify, acquire and operate a business that may provide opportunities for attractive risk-adjusted returns. While we may pursue an acquisition in any business industry or sector, we intend to concentrate our efforts identifying one or several businesses in the financial services industry with an enterprise value of approximately $700 million to $2 billion, with particular emphasis on businesses that are providing or changing technology for, or creating innovation in, traditional financial services (“FinTech”), businesses focusing on asset and/or wealth management, and/or finance related activities, in addition to businesses focusing on gaming and/or eSports.
