We are a blank check company incorporated as a Cayman Islands exempted company whose business purpose is to effect a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. Over the course of their careers, the members of our management team and board and their respective affiliates (including Jackson Healthcare and Jackson Investment Group) have developed a broad network of contacts and corporate relationships, including deep networks in the healthcare industry, that we believe will serve as a useful source of opportunities. While we may pursue an initial business combination target in any industry, we currently intend to concentrate our efforts in identifying high-quality businesses with a focus on healthcare services, healthcare technology, or otherwise focused on the healthcare industry. Within this focus, we will seek to pursue opportunities with market-leading companies, including closely-held companies, institutionally-backed businesses and corporate spin-outs.
