We are a newly organized blank check company. While we may pursue an acquisition opportunity in any business, industry, sector or geographical location, we intend to focus on industries that complement our management team’s background, and to capitalize on the ability of our management team to identify and acquire a business, focusing on the healthcare or healthcare related industries in the United States and Europe. In particular, we intend to prioritize companies in the life sciences sector where our management team has extensive experience. Our sponsor is an affiliate of Locust Walk Partners, a leading global life sciences transaction firm. Since its founding in 2008, Locust Walk Partners has focused exclusively on the healthcare industry, where it works with emerging life sciences companies to complete transformative transactions, including global or regional partnerships, mergers and acquisitions, and financings. Locust Walk Partners teams up with life sciences companies to help them define and implement their research and development, corporate development, business development and/or financing strategies. Joining our company is a team of high-level senior life sciences executives. The team includes Brian Atwood, who will serve as our Chairman immediately upon the effective date of this prospectus, Chris Ehrlich, our Chief Executive Officer, and Daniel Geffken, our Chief Financial Officer.
