We are a newly-organized blank check company whose business purpose is to effect a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses or assets. We have not selected any specific business combination target. While we may pursue an acquisition opportunity in any industry or geographic region, we intend to focus our search on identifying a prospective target that can benefit from our operational expertise in the technology, media and telecommunications (“TMT”) industry, including the wireless communications industry. Our founder and Chairman, Charles W. Ergen, is one of the most prominent and respected figures in the TMT industry with extensive experience in founding and growing multi-billion dollar companies to deliver shareholder value and a track record of executing transformative transactions. He has received numerous accolades for his career as an entrepreneur, including being amongthe 2012 class of inductees into the Consumer Electronics Hall of Fame and one of Barron’s “World’s Best CEOs” and listed among Forbes “Top 10 CEOs” in 2007.
