We are a blank check company formed for the purpose of entering into a merger, stock exchange, asset acquisition, stock purchase, recapitalization, reorganization or other similar business combination with one or more businesses or entities. We intend to initially focus our search on identifying a prospective target business in the senior housing and care industry in the United States. We do not have any specific business combination under consideration and we have not had any substantive discussions, formal or otherwise, with respect to such a transaction. In the US, there currently are approximately 23,400 investment grade senior housing and care properties containing 3 million units. Our Chairman, President and CEO, Richard Ackerman, has over 35 years of real estate experience with 18 years in senior housing. In 2004, Ackerman founded Big Rock Partners, an opportunistic real estate investment firm founded that has invested in and managed over $800 million in assets since its formation.
