We are a newly organized blank check company. While we may pursue a target business in any industry or sector, we initially intend to focus on target businesses that manage, finance, operate, construct, control, or support real estate or which derive a large component of revenue from real estate, construction or infrastructure related activities. Our mission is to identify businesses that can benefit from our sponsor team’s experience as entrepreneurs, investors and operators, as well as our sponsor team’s diverse industry knowledge and broad network of industry contacts, to accelerate growth and drive long-term value for stockholders. Our sponsor was founded by affiliates of BH3 Management and is managed and controlled by BH3 Management. The co-sponsors of Spartacus Acquisition Corporation (Nasdaq: TMTS) (“Spartacus”) are also anchor investors in our sponsor and one of its representatives serves on our investment committee. BH3 Management is a vertically integrated real estate investor, operator and developer founded by Daniel Lebensohn and Gregory Freedman in October 2009 that invests both debt and equity capital through various investment vehicles.
