Replay Acquisition, a blank check company formed to acquire a business in Argentina or Brazil, filed on Friday with the SEC for an initial public offering.
The New York, NY-based company plans to raise $250 million by offering 25 million units at a price of $10, where it would command a market value of $313 million. Each unit consists of one ordinary share and one-half of one warrant; whole warrants are exercisable at $11.50 per share.
The company was founded in 2018 and plans to list on the NYSE under the symbol RPLA.U. Replay Acquisition filed confidentially on January 11, 2019. Credit Suisse and BofA Merrill Lynch are the joint bookrunners on the deal.
