Music venue and restaurant operator Notes Live files for a $12 million IPO

Notes Live, which owns and operates music venues and restaurants, filed on Tuesday with the SEC to raise up to $12 million in an initial public offering.

Doing business as VENU Holding Corp., Notes Live currently operates two music halls and three restaurants in Colorado Springs, CO, and Gainesville, GA, and plans to open several outdoor amphitheaters, restaurants, and bars over the next two years in Colorado, Oklahoma, and Texas.

The company's restaurant concepts include Bourbon Brothers Smokehouse & Tavern and Notes Eatery.

The Colorado Springs, CO-based company was founded in 2017 and booked $14 million in sales for the 12 months ended March 31, 2024. It plans to list on the NYSE American under the symbol VENU. ThinkEquity is the sole bookrunner on the deal. No pricing terms were disclosed.
